The AIFC Authority’s Investments Department is seeking a highly capable Manager to source, verify, and structure investment projects, facilitate inward foreign investment into Kazakhstan, and support strategic government‑assigned initiatives. The role involves both transactional legal work and investment project development, requiring strong analytical, financial, and communication skills.
Responsibilities:
- Review corporate documents, ownership structures, governance, contracts, licenses, permits, IP, labour compliance, tax compliance, and litigation/arbitration risks of target companies.
- Ensure compliance with ARDFM, NBK, Ministry of Finance, AIFC requirements, and other sector‑specific regulations.
- Evaluate tax accounting accuracy, potential tax liabilities, and tax implications during investment transactions.
- Verify IP registrations (trademarks, patents, copyrights) and assess related risks.
- Review employment contracts and labour compliance, including termination procedures, compensations, and employee litigation risks.
- Assess ongoing and historical disputes, financial exposure, and reputational risks using judicial databases.
- Design optimal ownership structures (LLP, JSC, AIFC forms), develop legal strategies, and advise on jurisdiction selection.
- Draft and negotiate SPAs, Shareholders’ Agreements, option/convertible agreements (SAFE/CLA), and amendments to statutory documents.
- Ensure timely acquisition of competition approvals and assess risks related to competition restrictions.
- Propose tax optimisation strategies, apply DTAs, and analyse tax implications for investment exits.
- Conduct sanctions, AML/KYC checks, and ensure compliance with FATF standards.
- Develop investor‑protection mechanisms (tag‑along, drag‑along, liquidation preference) and prepare exit strategies (buy‑back, IPO, MBO, trade sale).
- Package investment projects (teasers, pitch decks, financial models), verify project readiness, and prepare investor‑ready materials.
- Identify and engage investors, participate in pitching events, collaborate with IFIs and strategic partners, and promote government‑assigned investment projects.
- Identify regulatory bottlenecks, prepare policy proposals, participate in SEZ‑related initiatives, draft regulatory acts, track KPIs, and ensure compliance and documentation integrity.
Requirements:
- Bachelor’s degree in Finance, Economics, Business, Jurisprudence, or a related field; Master’s, MBA, or CFA is an advantage.
- Minimum 2 years of experience in cross‑border M&A, investment banking, private equity, Big 4 deals advisory, or corporate development.
- Experience in investment projects, due diligence, structuring, and regulatory processes; litigation experience is a plus; advanced financial modelling skills are mandatory.
- Proficiency in Microsoft Excel, PowerPoint, and Word, with the ability to prepare high‑quality analytical and presentation materials.
- Fluency in Kazakh, Russian, and English.

- Excellent verbal and written communication and presentation abilities.
- Ability to work independently, manage multiple tasks, and meet tight deadlines.
