KPMG Law is seeking an experienced Corporate/M&A professional to join its team in Kazakhstan (Astana) at the Senior Associate / Counsel level.

KPMG Law Kazakhstan provides legal support on low- to mid-cap M&A transactions, including domestic and cross-border acquisitions, disposals, and privatizations. We advise on a broad range of commercial and corporate law matters, including corporate governance, joint ventures, D&O liability, and international and domestic restructuring projects.

Key responsibilities
- Structuring and supporting M&A transactions, including drafting and negotiating key transaction documents (e.g., SHAs, SPAs, option agreements, security documents, disclosure letters)
- Providing complex legal advice on transactions and reorganizations at pre- and post-closing stages
- Leading legal due diligence workstreams and managing corporate procedures
- Advising on various aspects of Kazakhstan commercial and corporate law
- Managing client relationships and ensuring high levels of client satisfaction
- Coaching, mentoring, and managing the performance of junior team members
- Ensuring the quality and consistency of legal advice and deliverables
- Contributing to the firm’s business development and marketing initiatives
Requirements
- Minimum of 6 years of relevant experience in a reputable law firm
- Proven experience in corporate/M&A, including the ability to independently manage transactions, draft transaction documents, and support high-stake negotiations with minimal supervision
- Strong academic background in Kazakhstan business and corporate law
- Knowledge of English law and/or relevant qualification is a strong advantage
- Demonstrated ability to manage workload, priorities, and deadlines, as well as to lead teams and develop junior lawyers
- Fluent English
- Strong stakeholder management and communication skills
- UK or US LL.M. degree is an advantage
