Chief Legal Officer

•Legal Compliance and Risk Management: ensure the firm's compliance with relevant laws, regulations, and industry standards. Develop and implement compliance policies and procedures. Conduct regular assessments to identify legal risks and develop strategies to mitigate them.

•Deal Structuring and Due Diligence: provide legal guidance during the structuring of investment deals. Conduct or oversee legal due diligence on potential investments, assessing legal risks and liabilities. Advise on the legal aspects of deal negotiations, including terms, conditions, and documentation.

•Transaction Execution: lead or oversee the drafting, review, and negotiation of transaction documents, including purchase agreements, shareholder agreements, and financing documents. Coordinate with external legal counsel, investment banks, and other advisors involved in transactions. Ensure timely execution of transactions while protecting the firm's interests.

•Portfolio Management: provide ongoing legal support for portfolio companies,

including corporate governance matters, regulatory compliance, and strategic transactions. Oversee legal aspects of portfolio company exits, such as IPOs, mergers, or sales.

•Legal Documentation and Record-Keeping: maintain accurate and comprehensive legal documentation for all investments and transactions. Develop and maintain legal templates and standard documentation to streamline processes and ensure consistency.

•Litigation and Dispute Resolution: manage or oversee litigation and legal disputes involving the firm or its portfolio companies. Work with external counsel to develop litigation strategies and represent the firm's interests in legal proceedings.

•Regulatory Affairs and Government Relations: monitor regulatory developments and advise on their potential impact on the firm's activities. Interact with regulatory agencies and government officials as needed, representing the firm's interests and advocating for favorable regulatory policies.

•Training and Education: provide legal training and guidance to internal stakeholders, including investment professionals, executives, and support staff. Keep the team informed about legal developments and best practices relevant to the private equity industry.

•Ethical and Compliance Standards: uphold the firm's ethical standards and promote a culture of integrity and compliance. Investigate and address any allegations of misconduct or ethical violations within the organization.

•Board and Committee Participation: serve as a key advisor to the firm's executive leadership team and board of directors. Participate in board meetings and committees, providing legal expertise and guidance on strategic decisions.
