Senior Legal Counsel (Venture Capital)

We are looking for a lawyer with hands-on experience in international venture capital transactions to support investment projects. We welcome Russian-speaking candidates, including those seeking part-time opportunities.

Key responsibilities:

• Manage venture capital transactions from negotiating terms and conducting legal due diligence through to signing and closing
• Draft and negotiate the full range of investment documentation
• Assess legal risks associated with investments and recommend measures to protect investors’ interests
• Negotiate with founders, co-investors and legal advisers in Russian and English
• Support follow-on funding rounds, the exercise of investor rights and investment exits
• Coordinate external legal advisers across foreign jurisdictions

Requirements:

• A university degree in law
• Proven experience independently managing international venture capital transactions at an investment fund, law firm or corporate investment team
• Hands-on experience drafting and negotiating SAFEs, convertible loan agreements and shareholders’ agreements, with a solid understanding of venture financing structures and investor protections
• Knowledge of English law sufficient to work independently with transaction documentation, and experience working with legal advisers on applicable foreign law
• Fluency in Russian and proficiency in legal English sufficient to draft documents and conduct negotiations independently
• Ability to manage projects independently, assess risks and propose practical solutions
