Corporate Lawyer

The company is being built from the ground up. We are looking for a lawyer to provide legal and corporate support to the Company, including contract work, the activities of governing bodies and transactions.

Responsibilities

• Participate in establishing the legal function and corporate procedures of the company from scratch
• Prepare, review and negotiate contracts and amendments, and take part in negotiations
• Provide legal and documentary support for the Management Board: prepare materials, draft resolutions and minutes of meetings
• Prepare documents for corporate approval of transactions
• Prepare and update the Charter, internal documents and powers of attorney
• Prepare legal materials for the Board of Directors and the General Meeting of Shareholders in cooperation with the Corporate Secretary
• Draft and review incoming and outgoing correspondence, regulations, orders, instructions, claims and appeals, and prepare legal opinions
• Resolve disputes and claims under contracts at the pre-trial stage
• Provide legal support to the company’s departments on matters related to its activities
• Liaise with the company’s departments and external legal counsel
• Monitor changes in the legislation of the Republic of Kazakhstan and update internal documents accordingly

Qualification Requirements

• Higher education in law
• At least 3 years of work experience in the legal field
• Knowledge of civil and corporate legislation of the Republic of Kazakhstan, including the Law «On Joint-Stock Companies», the procedures of JSC governing bodies and the approval of transactions
• Experience in preparing contracts, corporate documents, draft resolutions and minutes of collegial bodies
• Knowledge of claims and litigation procedures
• Skills in systematizing, recording and maintaining legal documentation using modern information technologies
• Ability to handle assigned matters independently, formulate well-founded legal conclusions and meet deadlines
• Kazakh and Russian — fluent (spoken and written)
• English — C1
• Experience in a joint-stock company and in the aviation or transport industry will be an advantage
• Experience in start-up companies will be an advantage
