Senior Lawyer (Invesments, Corporate and contract law, IP)

We are seeking an experience and highly skilled Senior Lawyer with a specialization in Investments, Corporate and Contract law, Intellectual Property.
The candidate will play a pivotal role in the company and manage all the legal activities, handling a diverse range of legal matters related to investments, commercial agreements, employments contract and overall legal activities. The candidate will be responsible for managing and another young lawyer who will work under his/her guidelines and supervision. The senior lawyer will be the company CEO’s legal advisor and will work closely and daily with the CEO.

Requirements and responsibilities:

• Oversee and manage all legal activities within Iltrina company.
• Supervise and provide guidance to a young lawyer working under his/her leadership.
• Strong legal knowledge and experience in the following domains:

Cooperate law, securities law;

Contract and commercial law;

Intellectual property law and licensing agreements.

Venture capital experience: equity financing, convertible notes, and preferred stock agreements.

• Experience with negotiating investment and commercial contract terms and managing the legal aspects of investments of commercial contracts.
• Preparing and reviewing various agreements such as investment agreements, shareholder agreements, subcontracting and service agreements, patent assignment and licensing agreements and commercial agreements.
• Understanding the business framework of startup companies (investment, anti-dilution provisions, valuation methods).
• Industry knowledge at least in one of the company’s domains of investment.
• Ability to collaborate with global law firm when necessary.

Position Requirements:
• University graduate / accredited law school
• Active license to practice law in Russia.
• Excellent/fluent English writing and very good speaking is a must.
• 10-15 years of relevant experience in commercial/cooperate practice law and IP within Investing Industry.
