Spotware Systems Ltd is looking for a highly experienced Senior Legal Counsel to take ownership of legal and regulatory matters within a fast-growing global fintech environment with multiple international business units and legal entities.
This is a high-autonomy role with direct exposure to executive stakeholders. You will operate as a key business partner, ensuring regulatory readiness, legal resilience, and supporting the company’s growth across markets.
Key Responsibilities
Own and drive legal and regulatory workstreams across multiple jurisdictions and entities, ensuring alignment with business priorities and regulatory obligations.
Partner with senior stakeholders on market expansion, partnerships, vendor relationships, and product growth from a legal/regulatory perspective.
Provide clear, practical guidance on risk exposure and mitigation, with an outcome-focused approach.
Review and manage the full contract landscape across the company, ensuring consistency, enforceability, and risk control (customers, vendors, partners, service providers).
Support regulatory readiness relevant to trading/brokerage ecosystems (Cyprus/EU context), working closely with internal teams and external advisors.
Maintain a compliance-by-design mindset in collaboration with Product, Security, and Operations (policies, controls, evidence, audit readiness).
Own KYB/KYC legal oversight for customers and counterparties (documentation standards, risk flags, escalation, ongoing controls).
Validate industry and regulatory eligibility of clients (e.g., checking licensing status, regulatory footprint, and compliance risks where applicable).
Support HR with employment-related legal matters, including employee documentation, labor-office interactions, internal policies, and compliance.
Handle employee disputes and litigation support, including coordination and supervision of external lawyers, evidence preparation, and case management.
Lead contract lifecycle management: drafting, review, negotiation, and standardization of key commercial agreements (B2B, vendors, partners).
Support corporate governance and internal approvals across multiple entities (board matters, filings, internal policies).
Coordinate external legal counsel where needed and ensure cost-effective, high-quality legal delivery.
Source and manage external legal resources globally (law firms, consultants, notaries, specialized advisors), including obtaining legal opinions when required.
Requirements
Bachelor’s or Master’s degree in Law / International Law (or equivalent).
7+ years of legal experience, ideally in fintech, regulated technology, trading platforms, SaaS, or financial services.
Strong expertise in corporate law, regulatory compliance, licensing, and contract management.
Proven experience interacting with financial regulators, banks, and payment providers.
Strong ownership mindset: ability to work independently, prioritize fast, and deliver clear outcomes with minimal supervision.
Excellent communication and stakeholder management skills.
