At least 3 years of experience as a lawyer in consulting and/or subsoil use sector, preferably in companies engaged in exploration and mining of solid minerals.
Strong skills in drafting, reviewing, and providing legal expertise on complex contracts, including M&A transactions, transfer of subsoil use rights, and deal structuring, including transactions involving international jurisdictions and the AIFC.
Practical experience in legal risk management: identification, assessment, mitigation, and development of risk-reduction measures in subsoil projects and the company’s operational activities.
Advanced legal writing and Legal Design skills: ability to structure information clearly and prepare legally sound yet accessible documents, presentations, and legal opinions.
High level of independence and responsibility, with the ability to work under significant regulatory requirements and manage multiple projects simultaneously
Proficiency in English, Russian, Kazakh languages
Responsibilities:
Legal support of the company’s overall activities.
Legal support in the field of subsoil use: preparation and review of licenses, lease agreements, contracts, and interaction with governmental authorities.
Participation in negotiations and structuring of M&A transactions: legal review, due diligence, document preparation, and management of transaction closing processes.
Assessment and management of legal risks, development of internal control systems and legal compliance frameworks.
Drafting various types of contracts (civil law contracts, service agreements, works contracts, supply agreements, etc.), including preparation, legal analysis, and negotiation.
Registration and re-registration of legal entities, preparation of incorporation documents, and handling other registration procedures with governmental and other authorities.
Development and approval of the company’s internal regulatory documents.
Providing legal advice and clarification of legislation to related departments within the company.
Preparation of submissions and official correspondence to governmental authorities.
